⚡ Customer-First Fair Commercial Terms

Strivant Systems Pty Ltd operates on transparent, no-lock-in terms. All monthly subscriptions can be cancelled at any time through your dashboard with automated pro-rated refunds for unused days.

Services include full statutory guarantees under the Australian Consumer Law (Competition and Consumer Act 2010 (Cth)) and a 99.9% uptime Service Level Agreement.

01. Agreement & Operational Scope

These Terms of Service ("Terms") constitute a legally binding agreement between Strivant Systems Pty Ltd (ACN 668 192 405) ("Aizo", "we", "us", or "our"), incorporated in New South Wales, Australia, and the individual or business entity subscribing to or accessing our services ("Customer", "you", or "your").

By creating an account, connecting a telephone line, integrating WhatsApp or SMS, or accessing our web and mobile applications, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.

02. Subscriptions, Billing & Pro-Rated Refund Policy

Aizo provides software-as-a-service and telecommunications features under flexible, clear commercial terms:

A. Subscription Tiers & Renewal

Subscription plans (including Aizo X and Aizo Z) are billed in advance on a monthly recurring cycle. Subscriptions automatically renew at the conclusion of each billing period unless cancelled by you prior to the renewal date.

B. Pro-Rated Refund Guarantee

There are no lock-in contracts. If you cancel your monthly subscription mid-cycle, your account is immediately credited with an automated, pro-rated refund for the exact unused days remaining in your active billing period, returned to your original payment method.

C. Commercial Actions & Top-Ups

High-value commercial actions (such as automated customer booking confirmations, payment link dispatch, and quote follow-ups) and minute allowances are billed on confirmed delivery. Top-up balances and credits are available on a prepaid basis, valid for 30 days, and refundable on a pro-rated basis for unconsumed credits upon cancellation.

D. Australian Dollars & GST

All stated subscription fees, minutes, and action charges are denominated in Australian Dollars (AUD) and are subject to Australian Goods and Services Tax (GST) in accordance with the A New Tax System (Goods and Services Tax) Act 1999 (Cth).

03. Telecommunications Compliance & ACMA Fair Use

Dedicated Australian telephone numbers (+61 geographic or mobile lines) provided through the service are provisioned via licensed Australian carriage service providers in compliance with the Telecommunications Act 1997 (Cth) and Australian Communications and Media Authority (ACMA) regulations.

  • Acceptable Telecommunications Use: You agree not to use assigned lines for unlawful telemarketing, automated spam robocalling, voice spoofing, harassment, or activities violating the Spam Act 2003 (Cth) or Do Not Call Register Act 2006 (Cth).
  • Number Ownership: Numbers assigned remain subject to carriage provider allocation and standard Australian telecommunications porting regulations.
  • Line Suspension: We reserve the right to immediately suspend any number or account involved in telecommunications abuse or law enforcement notifications.

04. AI Assistant Operation & Customer Oversight

Aizo uses advanced natural language processing models to screen incoming callers, take messages, draft replies, and index records. You acknowledge and agree that:

  • Supervisory Responsibility: While Aizo is tuned for high commercial accuracy, generative AI models can occasionally produce unexpected or incomplete outputs. You retain final authority and supervisory oversight over business quotes, orders, customer bookings, and commitments processed through the platform.
  • Emergency Services Exclusion: Aizo is not a certified emergency telecommunications service. Do NOT use Aizo to call or route 000 or emergency services.
  • No Professional Advice: Aizo does not provide licensed medical, legal, accounting, or financial advice.

05. Australian Consumer Law (ACL) Statutory Guarantees

Our goods and services come with statutory consumer guarantees that cannot be excluded under Schedule 2 of the Competition and Consumer Act 2010 (Cth) (Australian Consumer Law).

For major failures with the service, you are entitled to cancel your service contract with us and receive a full pro-rated refund for the unused portion, or compensation for its reduced value. You are also entitled to have failures rectified within a reasonable time, and if this is not done, to cancel your contract and obtain a refund.

Non-Exclusion Clause: Nothing in these Terms operates to exclude, restrict, or modify any statutory condition, warranty, guarantee, right, or remedy conferred on you by the Australian Consumer Law that cannot be lawfully excluded.

06. Service Level Agreement (SLA) & Uptime Commitment

Strivant Systems Pty Ltd commits to providing enterprise-grade availability for our core cloud infrastructure, voice call gateways, and WhatsApp routing webhooks.

99.9% Uptime Commitment Applies to core telephony routing, transcription engine, and web portal access (excluding scheduled maintenance announced 48h prior).
SLA Support Response Windows Critical voice line outages: response < 1 business hour. General support & billing inquiries: response < 4 business hours.

If monthly uptime falls below 99.9% in any calendar month due to our system failure, eligible customers are entitled to request service credits of 10% of their monthly subscription fee for each 1% of unscheduled downtime, up to a maximum of 50% of the monthly fee.

07. Customer Data Ownership & Intellectual Property

  • Customer Data Ownership: You retain sole, exclusive ownership and title to all data, voice recordings, conversation logs, customer records, and documents uploaded or transmitted through Aizo.
  • Aizo IP: Strivant Systems Pty Ltd retains all intellectual property rights, trademarks, source code, visual design, audio models, and software architectures comprising the Aizo platform.
  • License to Operate: You grant us a non-exclusive, worldwide, royalty-free license solely to host, process, and transmit your data for the purpose of operating the services on your behalf.

08. Limitation of Liability

To the maximum extent permitted by Australian law (and subject to your non-excludable statutory rights under the Australian Consumer Law), Strivant Systems Pty Ltd will not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business goodwill, arising from your use of or inability to use the service.

Our total aggregate liability under these Terms in any 12-month period is strictly limited to the total subscription fees paid by you to Aizo during the 3 months preceding the event giving rise to liability.

09. Suspension, Termination & Data Export

You may terminate your account at any time via your customer portal. Upon termination:

  • You receive an automated pro-rated refund for the remaining days of your monthly subscription.
  • Your assigned Australian telephone line will be released back to the carriage pool at the end of your billing cycle.
  • You retain access to export all your conversation logs, transcripts, and vault files for 30 days, after which all customer records are permanently and cryptographically purged.
